Terms of service

These terms apply when a practice (you) buys website services from Webicious Ltd (we, us). We’ve written them in plain English. Your order confirmation sets out your plan and price, and together with these terms and our data processing agreement forms our agreement.

1. Our services

We design, build, host, secure, maintain and support your website as described in your plan. We will provide our services with reasonable skill and care.

2. Fees and payment

Fees are as shown in your order confirmation and exclude VAT, which we add at the prevailing rate. Monthly fees are paid in advance by Direct Debit or card. Annual and multi-year fees are paid in advance. Set-up fees are payable when you sign, unless waived under a 24-month agreement. If a payment is more than [30 days] late, we may suspend the service after giving you written notice.

3. Term and ending the agreement

Monthly plans have a minimum term of 12 months (or 24 months where you chose that option), then continue month to month until either of us gives 60 days’ notice by email. Annual and multi-year plans renew automatically for a further year unless either of us gives notice at least 60 days before the renewal date. Either of us may end the agreement immediately if the other seriously breaches it and does not put the breach right within 30 days of being asked to.

4. Changes and fair use

Your plan includes changes made by us up to the monthly allowance shown in your order confirmation. Unused time does not carry forward. Work beyond your allowance, or new features, will be quoted in writing before we start and will only go ahead with your agreement.

5. Your responsibilities

You are responsible for the accuracy of the information you give us, and for ensuring that the clinical, fee and treatment claims on your website meet the rules of your regulator and professional body. We will ask you to approve this content before it goes live. You must not ask us to collect clinical information through your website.

6. Ownership

You own your domain name and the content you supply or we write for you, including text, photographs and logos, once your fees for that work are paid. Our templates, code and tools remain ours, and we license them to you for as long as our agreement lasts.

7. When the agreement ends

We will transfer your domain name to you or your chosen provider and give you a full copy of your content in a standard format. We do not charge exit fees. We will delete our copies of your website data within [90 days] of the agreement ending, unless the law requires us to keep it.

8. Data protection

Where we process personal data on your behalf, we do so as your processor under our data processing agreement, which forms part of these terms.

9. Availability and security

We take reasonable steps to keep your website available and secure, including UK hosting, Cloudflare protection, monitoring and off-site backups. We cannot guarantee uninterrupted service, but we will tell you about any significant problem and work to fix it promptly.

10. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. Otherwise, our total liability under this agreement in any year is limited to [the fees you paid us in the previous 12 months], and we are not liable for loss of profit, revenue or business, or for indirect losses.

11. Changes to these terms

We may update these terms from time to time. We will give you at least 60 days’ notice by email of any change that affects you, and changes will not apply to your current minimum term without your agreement.

12. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
